Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Leadership Motion LLC (“Leadership Motion,” “we,” “us,” or “our”), governing your access to and use of the Leadership Motion platform, including the website at leadershipmotion.com and all related services (collectively, the “Platform”).

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
• You are responsible for all activities that occur under your account.

4. Platform Services

The Platform provides AI-enhanced leadership development tools including, but not limited to:

• Leadership assessments and Navigational Quotient (NQ) scoring
• AI-powered coaching conversations and personalized insights
• Learning modules and professional development content
• Coach assignment and session management
• Performance tracking, leaderboards, and reporting
• Feedback and collaboration tools

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to other users’ accounts or any part of the Platform’s infrastructure
• Interfere with or disrupt the Platform, servers, or networks connected to the Platform
• Upload or transmit malicious code, viruses, or any harmful content
• Use the Platform to harass, abuse, or harm other users
• Reverse engineer, decompile, or disassemble any part of the Platform
• Scrape, data mine, or use automated means to access the Platform without our written consent
• Resell or redistribute Platform services without authorization
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity

6. Intellectual Property

All content, features, and functionality of the Platform — including text, graphics, logos, icons, images, audio, software, assessments, AI models, and the underlying code — are owned by or licensed to Leadership Motion LLC and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes, subject to these Terms.

7. User Content

You retain ownership of the content you submit to the Platform, including assessment responses, chat messages, feedback, and uploaded materials (“User Content”). By submitting User Content, you grant Leadership Motion a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Platform’s services.

You represent that you own or have the necessary rights to submit your User Content and that it does not infringe upon the rights of any third party.

8. AI-Generated Content

The Platform uses artificial intelligence to generate insights, coaching suggestions, and analytical outputs. You acknowledge and agree that:

• AI-generated content is provided for informational and developmental purposes only and should not be considered professional advice (legal, medical, financial, or otherwise).
• AI outputs may not always be accurate, complete, or current. You should exercise your own judgment when acting on AI-generated recommendations.
• Leadership Motion does not guarantee specific outcomes from the use of AI features.
• Your interactions with AI features may be used to improve the Platform, subject to our Privacy Policy.

9. Coaching Services

If you are assigned or elect to work with a coach through the Platform, the coaching relationship is governed by these Terms and any additional coaching agreement provided. Coaches may be employees, contractors, or affiliates of Leadership Motion. Coaching is intended for professional development and does not constitute therapy, counseling, or any form of licensed professional advice.

10. Subscriptions and Payment

• Certain features of the Platform may require a paid subscription. Pricing and plan details are available on the Platform.
• Subscriptions automatically renew unless canceled before the renewal date.
• All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
• We reserve the right to change pricing with reasonable notice.
• Enterprise and team subscriptions are governed by the applicable service agreement.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Platform at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will continue to apply.

12. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Leadership Motion LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Leadership Motion LLC from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, your User Content, or your violation of these Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised effective date.

17. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leadership Motion regarding the Platform.
• Severability: If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
